Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Kinetic Flux LLC, doing business as PantryPrix (“PantryPrix,” “we,” “us,” or “our”), governing your use of the PantryPrix iOS app, the PantryPrix Android app, and the web application at pantryprix.com (together, the “Service”).

By creating an account, downloading the app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. You represent that you are at least 13 years of age (or the equivalent minimum age in your jurisdiction).

PantryPrix is a recipe-generation and pantry-management application that helps you:

• Track pantry inventory and expiration dates.
• Generate AI-assisted recipe suggestions based on available ingredients.
• Save recipes, build shopping lists, and track cooking history.
• Earn achievements and participate in challenges.

The Service is provided on an “as is” and “as available” basis. We may add, remove, or change features at any time, with or without notice.

To use most features you must create an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the confidentiality of your password and other credentials.
• Accept responsibility for all activity that occurs under your account.
• Notify us promptly through our feedback form of any unauthorized use.

You may close your account at any time. iOS and Android users can delete their account from the Profile screen (Settings → Profile → Delete Account). Web users may use the public deletion form at pantryprix.com/delete-account (no sign-in required) or request deletion through our feedback form. We may suspend or terminate accounts that violate these Terms.

You retain ownership of any content you submit to the Service (“User Content”), including pantry items, saved recipes, photos, ratings, and notes. You grant PantryPrix a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content as needed to operate, maintain, and improve the Service. We may also create de-identified and aggregated data derived from your User Content (including from receipt and pantry photos) and use it to develop, train, evaluate, and improve PantryPrix's features and automated systems, provided such data does not identify you. We do not sell your User Content, and we do not use it to train any third-party foundation model. Our use of personal information is further described in our Privacy Policy.

You represent that you have all necessary rights to your User Content and that it does not violate any law or third-party right.

You can add your own recipes to PantryPrix and keep them private to you and your family, or share them with PantryPrix. If you share a recipe:

• You confirm that it is your own recipe and that you have the right to share it.
• You grant Kinetic Flux LLC a non-exclusive, worldwide, royalty-free, perpetual license to use, adapt, translate, illustrate, and distribute the recipe in PantryPrix.
• We may credit you by your player name.
• We may decline or remove any submission.
• You can ask us to remove a shared recipe from future use. Copies that other users have already saved stay in their accounts.
• If you delete your account, your name is removed from the credit.

PantryPrix uses Anthropic's Claude model via Amazon Bedrock to generate recipe suggestions. You acknowledge and agree that:

• AI-generated recipes are suggestions only and may contain errors.
• You are responsible for reviewing recipes for accuracy, food safety, allergens, and suitability before preparation.
• We do not guarantee that AI-generated recipes will meet your nutritional, dietary, or taste preferences.
• Cooking times, temperatures, ingredient combinations, and substitutions are estimates; always exercise your own judgment, especially for meat, seafood, and food allergens.

PantryPrix is not liable for any harm, illness, allergic reaction, or injury resulting from your reliance on AI-generated recipes.

PantryPrix offers a free tier (“Free”) and three auto-renewing subscription tiers (“Sous Chef,” “Head Chef,” “Executive”), available on a monthly or annual basis. Each tier includes a daily recipe-generation allowance per the published pricing page.

Daily allowance. Your daily recipe allowance resets at midnight UTC each day. Unused allowance does not carry over. Barcode, photo, and receipt scanning are unlimited on every tier, including the free tier. Only promotional credits we grant for free, such as legacy welcome or sign-up bonuses issued before this daily-allowance model, may still exist on some accounts; those are a limited license to use in-app features, are not redeemable for cash, have no cash value, and are non-transferable. We may reverse or deduct promotional credits that were granted in error, obtained through fraud or abuse, or tied to a purchase that is later refunded or charged back.

Referrals. Referred users receive a 7-day trial. Referring users receive one free month added to their plan per paid referral.

For purchases made through the Apple App Store, the following auto-renewal terms apply (Apple App Store Review Guideline 3.1.2(a)):

• Title & length: PantryPrix Sous Chef, Head Chef, or Executive, for a one-month or one-year period, depending on the SKU you purchase.
• Price: the price displayed in the app at the time of purchase, in your local currency. Current published prices are listed on the pricing page.
• Payment: charged to your Apple ID account at confirmation of purchase.
• Auto-renewal: your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the cost of the chosen plan.
• Manage / cancel: you can manage and cancel your subscription by going to your Apple ID account settings on your device after purchase. Cancellation takes effect at the end of the current paid period.
• Free trials & promotional offers: any unused portion of a free trial, if offered, will be forfeited when you purchase a subscription.
• Privacy & Terms: Privacy Policy and Terms of Service.

For purchases made through Google Play, the following auto-renewal terms apply (Google Play subscription policy):

• Title & length: PantryPrix Sous Chef, Head Chef, or Executive, for a one-month or one-year period, depending on the SKU you purchase.
• Price: the price displayed in the app at the time of purchase, in your local currency. Current published prices are listed on the pricing page.
• Payment: charged to your Google Play account at confirmation of purchase.
• Auto-renewal: your subscription automatically renews at the end of each period unless you cancel at least 24 hours before the period ends. Renewal charges occur within 24 hours prior to the end of the current period at the cost of the chosen plan.
• Manage / cancel: you can manage and cancel your subscription from the Google Play Store app: Profile icon → Payments & subscriptions → Subscriptions → PantryPrix. Cancellation takes effect at the end of the current paid period.
• Free trials & promotional offers: any unused portion of a free trial, if offered, will be forfeited when you purchase a subscription.
• Privacy & Terms: Privacy Policy and Terms of Service.

For purchases made through our website, billing is handled by Stripe. Web subscriptions renew automatically at the chosen interval until cancelled through the billing portal accessible from Profile → Subscription → “Manage Subscription.”

Refunds. Refunds for App Store purchases are handled directly by Apple via reportaproblem.apple.com and are governed by Apple's policies. Refunds for Google Play purchases are handled directly by Google Play and can be requested through the Google Play app (Profile icon → Payments & subscriptions → Budget & history) or at support.google.com/googleplay; Google's refund policy applies. PantryPrix cannot issue refunds for App Store or Google Play transactions. Refund requests for web purchases made through Stripe are reviewed on a case-by-case basis; contact us through our feedback form.

We may change subscription prices or daily allowances on reasonable advance notice. Changes do not affect the period you have already paid for.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Infringe intellectual property rights.
• Upload malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Interfere with, disrupt, or overload the Service or its infrastructure.
• Scrape, crawl, or extract data from the Service except as permitted by law.
• Use the Service to build a competing product or to train any machine-learning model.
• Create accounts by automated means or misrepresent your identity.
• Abuse promotional benefits or referral rewards, including creating multiple or repeat accounts, or circumventing device-integrity or other fraud-prevention checks, to claim a referral trial or reward more than once. We use device-attestation and similar anti-fraud measures (see our Privacy Policy) and may withhold promotional benefits, or suspend accounts, where abuse is detected.
• Harass, abuse, or harm other users or our staff.

The Service, excluding User Content, is owned by Kinetic Flux LLC and is protected by copyright, trademark, and other intellectual-property laws of the United States and other countries. The PantryPrix name, logo, and related marks are trademarks of Kinetic Flux LLC. You may not use them without prior written permission.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including:

• Implied warranties of merchantability and fitness for a particular purpose.
• Warranties that the Service will be uninterrupted, secure, or error-free.
• Warranties regarding the accuracy or safety of AI-generated content.
• Warranties of non-infringement.

To the maximum extent permitted by law, in no event shall PantryPrix or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, data, or goodwill) arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted.

You may stop using the Service at any time and delete your account as described above. We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we reasonably believe doing so is necessary to protect the Service, our users, or third parties.

Upon termination:

• Your right to use the Service ceases immediately.
• You may request export of your data prior to deletion.
• Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

The following terms apply to your use of the iOS app obtained through the Apple App Store and form part of your agreement with PantryPrix. They are required by Apple in addition to (and not in place of) any standard end-user license terms.

• Acknowledgment. You acknowledge that these Terms are between you and PantryPrix only, and not with Apple. PantryPrix, not Apple, is solely responsible for the iOS app and its content.
• Scope of license. The license granted to you for the iOS app is limited to a non-transferable license to use the app on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
• Maintenance and support. PantryPrix is solely responsible for providing any maintenance and support services with respect to the iOS app, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the iOS app.
• Warranty. PantryPrix is solely responsible for any product warranties for the iOS app, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the iOS app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the iOS app (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the iOS app.
• Product claims. PantryPrix, not Apple, is responsible for addressing any claims relating to the iOS app or your possession and/or use of the iOS app, including: (i) product-liability claims; (ii) any claim that the iOS app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.
• Intellectual-property claims. In the event of any third-party claim that the iOS app or your possession and use of the iOS app infringes that third party's intellectual-property rights, PantryPrix, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such infringement claim.
• Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

The following terms apply to your use of the Android app obtained through Google Play. Your use of the Android app is also subject to the Google Play Terms of Service.

• Acknowledgment. These Terms are between you and PantryPrix only, and not with Google. PantryPrix, not Google, is solely responsible for the Android app and its content.
• License. The license granted to you for the Android app is limited to a non-transferable license to use the app on Android devices that you own or control, in accordance with the Google Play Terms of Service.
• Maintenance and support. PantryPrix is solely responsible for providing any maintenance and support services for the Android app. Google has no obligation to furnish any maintenance or support.
• Product claims. PantryPrix, not Google, is responsible for addressing any claims relating to the Android app, including product-liability claims, claims of non-conformance with applicable legal or regulatory requirements, and claims arising under consumer-protection, privacy, or similar legislation.
• Billing. All in-app purchases on Android are processed through Google Play Billing. Google's payment terms and refund policy apply in addition to these Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in the State of California unless we agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and PantryPrix agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative action.

Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual-property rights.

• Entire agreement. These Terms, together with the Privacy Policy and any in-app disclosures, constitute the entire agreement between you and PantryPrix regarding the Service and supersede any prior agreements.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, network outages, third-party-provider failures, or governmental actions.
• Notice. We may provide notice to you by email to the address on your account or by in-app message. You should send notice to us through our feedback form.

We may update these Terms from time to time. If a revision is material, we will provide at least 30 days' notice (for example, via in-app message or email) before the new Terms take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, please stop using the Service.
